Two Routes to a Hearing

The proxy vote

A shareholder’s vote records its position on a specific resolution, once a year, at the company’s annual meeting. It tells a board little about which shareholders feel strongly enough to act on a concern, or why.

Going public

A public campaign can force a company to respond. It can also damage the relationship the campaign was meant to repair, and it pushes the company to answer pressure instead of the substance underneath it.

A third route

We give institutional investors a structured alternative to voting alone or campaigning publicly: a concern can move from a private worry to a coordinated conversation with the board, tested and backed by fellow shareholders first.

How It Works

    A concern is raised

    A member institution brings us a concern about a US-listed company they hold.

  2. 02

    The concern is tested

    We assess it against a fixed bar: is there a genuine issue that will still matter years from now, and is a constructive outcome realistic. Concerns that meet both stay in; the rest stop here.

  3. 03

    Support is secured

    If the concern clears that bar, we approach fellow shareholders to gauge and secure support before anything reaches the company.

  4. 04

    Dialogue opens

    The board hears one coordinated position instead of scattered, individual complaints. Members keep their own votes and their own direct relationship with the company throughout.

Concerns that individual investors have carried for years on their own reach a team whose only mandate is to secure a hearing for them.

Durability

Every engagement we accept is measured against a multi-year standard. We take on issues that will still matter in five years.

Accountability
